Integral posted record profit of $12.3 million last year, up 96 percent compared with 2005, and it sold its first off-the-shelf satellite operating system to an intelligence agency; the company declined to say which one. Government contracts make up 80 percent of Integral's business, and the balance of work is commercial.
Integral's ground system for the next generation of environmental satellites for the National Oceanic and Atmospheric Administration became operational, and its command-and-control system began operating military communications satellites.
The company's financial footing strengthened even as its leadership continued to be roiled by resignations and investigations. During a Securities and Exchange Commission investigation, Integral last month named John Albertine, a board member since December 2006, chairman. The previous chairman, R. Doss McComas, was reelected to the board by shareholders, as was chief executive Peter J. Gaffney. Gaffney had served as interim chief executive when Steven R. Chamberlain resigned last summer after pleading guilty to a fourth-degree sex offense. In March, the SEC began a probe into whether Integral mergers-and-acquisitions director Gary A. Prince was performing actuarial duties at the firm. The SEC permanently barred Prince from practicing accounting in 1995 after he pleaded guilty to conspiracy to commit securities and bank fraud. He has since left the company.
Board member Bonnie K. Wachtel, who had raised concerns about Prince, had urged the company to sell and bring in new management. Integral hired an investment banking firm to explore the possibilities.
